Terms of Service

The baseline conditions, mandatory safety requirements, and responsibilities that support safe healthcare environmental and infection prevention services.

Acceptance and Contract Documents

These Terms of Service govern use of this website and establish baseline requirements for services provided by Spectrum Healthcare Environmental Services (“Spectrum”). A signed proposal, statement of work, service agreement, Business Associate Agreement, or other written contract may contain additional or different terms. If there is a conflict, the signed contract controls for the applicable services.

Website submissions are requests only and do not create a service contract. Services begin only after Spectrum accepts the scope in writing and all mandatory prerequisites are satisfied.

Services and Facility Responsibilities

Spectrum may provide healthcare environmental services, hospital-grade cleaning, disinfection, infection prevention support, training, audits, and related services described in the signed scope. The client remains responsible for clinical care, medical decisions, facility licensing, staffing obligations not expressly assumed in writing, and final compliance with laws and accreditation requirements.

The client must provide timely access, utilities, accurate facility and hazard information, authorized contacts, and a safe work environment. Undisclosed hazards or material scope changes may result in revised pricing, delayed service, suspension, or termination.

Mandatory Active Liability Insurance

The client must maintain active commercial general liability insurance, premises liability coverage, workers' compensation where applicable, and any other coverage reasonably appropriate to its operations at all times while Spectrum renders services. This requirement is mandatory and is a condition of service.

Proof of coverage and applicable endorsements must be provided before service begins and upon renewal or request. A lapse, cancellation, material reduction, or failure to provide proof may result in immediate suspension or termination without making Spectrum responsible for resulting delays.

Mandatory Floor Plans and Emergency Procedures

Before service begins, the facility must provide current, legible copies of:

  • A floor plan identifying service areas, restricted areas, exits, stairs, elevators, utility shutoffs, and designated assembly points.
  • The facility fire-prevention, fire-alarm, evacuation, escape, shelter-in-place, and emergency communication procedures.
  • Locations of fire extinguishers, eyewash stations, first-aid resources, spill kits, emergency equipment, and Safety Data Sheets.
  • Current infection-control, isolation, exposure-control, waste-handling, and incident-reporting procedures relevant to Spectrum's work.

The facility must promptly update Spectrum whenever layouts, hazards, access routes, emergency procedures, or controlled areas change.

Mandatory Safety Requirements

The client must maintain and communicate a safe work environment, including:

  • OSHA-compliant hazard communication and access to current Safety Data Sheets.
  • A Bloodborne Pathogens Exposure Control Plan, sharps controls, exposure reporting, and post-exposure procedures where occupational exposure may occur.
  • Clearly labeled regulated medical waste, pharmaceutical waste, chemicals, compressed gases, and other hazardous materials.
  • Functional emergency exits, alarms, lighting, ventilation, handwashing facilities, and required safety equipment.
  • Advance notice of isolation rooms, outbreaks, construction hazards, security risks, aggressive persons, environmental hazards, and newly identified infectious threats.
  • Site orientation, access credentials, security procedures, and an available facility representative for emergencies.

Spectrum personnel may stop work and leave an area they reasonably believe presents an imminent danger, undisclosed exposure, unlawful condition, or material violation of required safety procedures.

HIPAA, OSHA, CMS, EPA, and Bloodborne Pathogens

Each party will perform its responsibilities under applicable federal, Illinois, and Indiana requirements. Depending on the scope, relevant standards may include HIPAA privacy and security obligations, OSHA workplace safety and Bloodborne Pathogens requirements, CMS conditions and guidance, EPA product-label and chemical-use requirements, and state or local health, waste, fire, and facility rules.

EPA-registered products must be used according to their labels, including required dilution, contact time, PPE, ventilation, storage, and disposal. Spectrum does not guarantee that cleaning alone will eliminate every pathogen, prevent every infection, or ensure a facility passes every survey.

Facility Information and Client Materials

The client represents that it has authority to provide Spectrum with access, floor plans, policies, records, images, and instructions needed for service. The client is responsible for their accuracy and for identifying confidential, restricted, security-sensitive, or protected information before disclosure.

Fees, Changes, and Cancellation

Fees, payment timing, service frequency, supplies, exclusions, cancellation, and renewal terms are stated in the signed agreement. Additional work, outbreaks, emergency response, undisclosed hazards, access delays, or material scope changes may require written authorization and added charges.

Indemnification

To the fullest extent permitted by applicable Illinois or Indiana law, the client will defend, indemnify, and hold harmless Spectrum, its owners, officers, employees, staff, agents, and contracted personnel from third-party claims, losses, penalties, damages, liabilities, and reasonable legal costs arising from the client's negligence, willful misconduct, unsafe premises, undisclosed hazards, inaccurate instructions, legal or regulatory violations, insurance lapse, or breach of these Terms or a signed agreement.

Spectrum will be responsible for claims to the extent finally determined to have resulted directly from Spectrum's own negligence or willful misconduct, subject to the signed agreement and applicable law. No provision requires indemnification where prohibited by law. Contract-specific risk allocation must be reviewed and accepted in the signed service agreement.

Limitation of Liability

To the fullest extent permitted by law, Spectrum will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost revenue, interruption, survey outcomes, or reputational harm. Any contractual liability cap, exclusions, and available remedies will be governed by the signed agreement. These limitations do not apply where they are prohibited by law.

Illinois and Indiana Law

For services performed primarily in Illinois, Illinois law governs unless the signed agreement states otherwise. For services performed primarily in Indiana, Indiana law governs unless the signed agreement states otherwise. Venue and dispute procedures will follow the signed agreement and applicable law. The parties will first attempt good-faith resolution through authorized representatives.
